PURCHASE PROCESS
CONFIDENTIAL CALL
We’ll discuss your business and interest in selling at a high level. If it seems like a match, we’ll move forward together.
PRELIMINARY DUE DILIGENCE
After our initial call, Back Bay Capital Partners will conduct preliminary due diligence including industry research, market position analysis, and basic financial modeling. We will continue to meet through this process onsite, offsite, or virtually as best fits the situation.
Initial agreement
With initial due diligence done, you can expect an “Indication of Interest”. This one-page letter will provide the broad outline of a potential deal, including price range.
FORMAL OFFER
Once we agree on a price range, you should expect a formal “Letter of Intent”. This is the formal offer that includes price and all key terms to closing the deal.
CONFIRMATORY DUE DILIGENCE
With an agreement in place, we will work together to understand all aspects of your business as outlined in the formal offer: financial, internal operations, personnel management, etc.
CLOSING
With a signed “Letter of Intent” and confirmatory due diligence complete, it’s time to close the sale. At this point, money and ownership will change hands.
TRANSITION
As partners, we are committed to a smooth transition in ownership. That includes messaging to employees, training timelines, and other shared interests.
